1 · Scope
The site is for entertainment only.
Neon Luck Club ("we", "us", or the "Site") provides social casino-style games for entertainment only. The Site does not offer real-money gambling, betting, wagering, sweepstakes, contests, drawings, raffles, prize promotions, or any mechanic by which virtual currency can be exchanged for anything of monetary value.
2 · No Real-Money Gambling
Nothing on the Site involves real money.
You acknowledge and agree that:
- You do not wager real money on the Site.
- You cannot win real money or anything of monetary value.
- You cannot win prizes, gift cards, cryptocurrency, merchandise, or rewards of any kind.
- You cannot redeem virtual coins, chips, credits, points, or any in-game item for cash, prizes, gift cards, cryptocurrency, or anything of monetary value.
- You cannot cash out, withdraw, sell, transfer, or exchange virtual coins or any in-game item.
- You cannot participate in sweepstakes, contests, raffles, drawings, prize promotions, or any equivalent mechanic on the Site.
3 · Virtual Currency
Virtual coins are non-redeemable entertainment credits.
Virtual coins, chips, credits, bonuses, and other in-game items (collectively, "Virtual Items") are licensed to you for entertainment use only and remain the sole property of Neon Luck Club. Virtual Items have no cash value and cannot be sold, transferred, withdrawn, exchanged, or redeemed for cash, prizes, gift cards, cryptocurrency, or anything of monetary value. Virtual Items are not "money," not a "stored-value instrument," not a "security," and not a "financial product" of any kind. They confer no ownership right or interest in Neon Luck Club.
4 · No Purchase Required
You never have to pay to play.
No purchase is required to use the Site or to obtain Virtual Items. Neon Luck Club may offer optional virtual credit packs from time to time. Any such purchases are optional and are for additional virtual entertainment credits only. Purchased credits have no cash value and cannot be redeemed for cash, prizes, gift cards, cryptocurrency, or anything of monetary value. Purchases are final and non-refundable, except where required by law.
5 · Eligibility
21+ only.
You must be at least 21 years old to access or use the Site. By registering, you represent and warrant that you are at least 21 years old and that your use of the Site is lawful in your jurisdiction. Access to the Site may be restricted or unavailable in certain U.S. states or other jurisdictions where prohibited by law.
6 · Account & Conduct
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree not to: (i) attempt to obtain Virtual Items by fraudulent or automated means; (ii) sell, trade, or transfer your account or Virtual Items; (iii) misrepresent your age, identity, or location; (iv) use the Site in a manner that violates applicable law. Neon Luck Club may suspend or terminate accounts for abuse or violation of these Terms.
7 · Restricted Territories
The Site is not available to residents of Washington, Idaho, Michigan, Nevada, Montana, or any other jurisdiction where prohibited by law. Neon Luck Club uses geolocation tools to enforce these restrictions and reserves the right to refuse service to any user whose location appears to be in a restricted jurisdiction.
8 · Intellectual Property
All content on the Site — including game art, names, mechanics, code, graphics, music, and the Neon Luck Club name and crest — is owned by or licensed to Neon Luck Club and is protected by intellectual property laws. You receive a limited, revocable, non-exclusive license to access the Site for personal, non-commercial entertainment use only.
9 · Disclaimers & Limitation of Liability
The Site is provided "as is" and "as available." Neon Luck Club disclaims all warranties to the fullest extent permitted by law. In no event will Neon Luck Club be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site. Because the Site involves no real money, no Virtual Item has cash value, and no prizes exist, you understand and agree that there are no monetary damages associated with the operation of the Site.
10 · Changes
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after a change constitutes acceptance of the revised Terms.
11 · Governing Law
These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. To the extent any claim is not subject to arbitration under Section 12, you and Neon Luck Club consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.
12 · Dispute Resolution — Binding Arbitration
Agreement to arbitrate.
You and Neon Luck Club agree that any dispute, controversy, or claim arising out of or relating to these Terms, your use of the Site, or our relationship (collectively, a "Dispute") will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (available at adr.org), except as provided below. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Exceptions to arbitration.
Either party may bring an individual claim in a small-claims court of competent jurisdiction, so long as the claim qualifies for small-claims court and remains an individual (non-class, non-representative) action. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. These exceptions are narrow; all other Disputes must be arbitrated.
Class action waiver.
YOU AND NEON LUCK CLUB EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of class or representative proceeding. If a court determines this class-action waiver is unenforceable with respect to a particular claim, that claim (and only that claim) will be severed from arbitration and may proceed in court; all other claims remain subject to arbitration.
Arbitration procedures.
The arbitration will be conducted in English. You may elect to participate by videoconference, telephone, or written submission. If in-person proceedings are required, they will take place in the county of your primary residence or, at your election, in Wilmington, Delaware. The AAA Consumer Arbitration Rules govern filing fees and AAA charges; Neon Luck Club will pay all AAA filing, administrative, and arbitrator fees for claims that do not exceed US $10,000, unless the arbitrator determines the claim was frivolous.
Opt-out right.
You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: Neon Luck Club, Inc., Legal Department, 1209 Orange Street, Wilmington, DE 19801, or by email to [email protected] with the subject line "Arbitration Opt-Out." Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, the governing-law and jurisdiction provisions of Section 11 still apply.
13 · Severability
If any provision of these Terms is found to be unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
14 · Entire Agreement
These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Neon Luck Club regarding your use of the Site and supersede all prior agreements or understandings.
